Welcome to the Innosonian website (the “Site”). By accessing the Site, users agree to comply with and be bound by these Terms of Use (the “Terms”), as well as the Privacy Policy and the Trademark and Logo Usage Policy (collectively, the “Terms”). Innosonian reserves the right to revise these Terms, in whole or in part, at any time without prior notice.

In the event of a violation of these Terms, Innosonian reserves the right to pursue all remedies available under applicable law and equity. These Terms apply to all visits to the Innosonian website.

Users may download, view, copy, and print materials available on the Site (the “Content”), including but not limited to documents, graphics, information, and data, subject to the following conditions: (a) The Content may be used solely for personal, informational, and non-commercial purposes; and
(b) The Content may not be modified or altered in any way. Users may not use, download, upload, copy, print, display, perform, reproduce, publish, license, transmit, or distribute, in whole or in part, any Content from the Site without the express written consent of Innosonian. If such consent is granted, users agree to retain all copyright and other proprietary notices in the same form and manner as the original on any copies of the Content. Except as expressly provided above, nothing contained herein shall be construed as granting, by implication, estoppel, or otherwise, any license or right under any patent, trademark, copyright, or other proprietary right of Innosonian or any third party. This authorization shall automatically terminate without notice if these Terms are violated. Upon termination, all downloaded or printed Content must be immediately destroyed.

Prohibited Conduct. In connection with the use of the Site or the Content, users agree not to knowingly engage in any of the following: (i) Use any device, software, or technology to interfere with or attempt to interfere with the proper functioning of the Site;
(ii) Post or transmit any unlawful, fraudulent, harassing, defamatory, or obscene information of any kind on the Site;
(iii) Post or transmit any information containing viruses, bugs, or other harmful components;
(iv) Post, perform, distribute, prepare derivative works from, copy, reverse engineer, or otherwise use the Content, except as expressly permitted herein;
(v) Post or transmit any information that infringes upon the copyright or other intellectual property rights of others;
(vi) Take any action that imposes an unreasonable or disproportionately large load on Innosonian’s infrastructure;
(vii) Re-transmit any Content using framing, hyperlinking, or other techniques without the express written consent of Innosonian;
(viii) Use any device or technology to attempt repeated automated access to password-protected areas of the Site.

Use of any software and accompanying documentation downloaded from the Site is subject to the terms of a written software license agreement between the user and Innosonian. The terms of such license agreement shall be those (i) provided with the software or (ii) set forth in a license agreement executed by Innosonian. All rights, title, and interest not expressly granted are reserved by Innosonian.

Users agree to comply with all applicable governmental laws, statutes, ordinances, and regulations in connection with the use of the Site (including those related to unfair competition, anti-discrimination, and false advertising). All information available on the Site is subject to the laws of the United Kingdom and may also be subject to the laws of the user's country of residence. Users agree to strictly comply with all applicable United Kingdom laws and shall be solely responsible for obtaining any required licenses for the export or re-export of information, if applicable.

All trademarks, logos, and service marks displayed on the Site (the “Marks”) are the property of Innosonian or other third parties. Users may not use any Marks without the prior written consent of Innosonian or the applicable third party. All Content on the Site is the exclusive property of Innosonian or its respective third-party owners and is protected by applicable copyright, patent, trademark, trade dress, and/or other proprietary rights. Any copying, redistribution, use, or publication of such Content or any part of the Site is strictly prohibited. Under no circumstances shall users acquire any ownership or other interest in the Content through use of the Site. If Innosonian removes any Content from the Site, any licenses granted with respect to such Content shall immediately terminate.

Access to and use of password-protected or secure areas of the Site is restricted to authorized users only. Unauthorized individuals attempting to access such areas of the Site may be prosecuted.

Users are responsible for maintaining the confidentiality of any password provided for access to the Site and are solely responsible for all activities that occur under such password. Users agree to immediately notify Innosonian of any unauthorized use of their password.

Users agree that Innosonian may, in its sole discretion, terminate access to the Site and any accounts held by the user in connection with the Site at any time. Innosonian reserves the right to monitor access to the Site.

While Innosonian strives to provide accurate information on the Site, it assumes no responsibility for the accuracy of such information. Innosonian may change the products or services referenced on the Site at any time without prior notice. References to products or services not provided by Innosonian are for informational purposes only and do not constitute an endorsement or recommendation. Except as expressly provided otherwise, the Site, including all Content, materials, information, software, products, and services, is provided “as is” and “as available.” Innosonian expressly disclaims all warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and those arising from course of dealing, usage, or trade practice. Innosonian shall not be liable for any damages arising from the use or inability to use the Site or Innosonian products, including, without limitation, loss of profits or revenue, cost of substitute products, loss or damage to data, or damages resulting from the use of or reliance on Content, even if Innosonian has been advised of the possibility of such damages, and whether such damages are direct, indirect, special, incidental, or consequential. The sole remedy for dissatisfaction with the Site and/or the Content is to discontinue use of the Site. To the extent required by applicable law in certain jurisdictions, some of the above limitations of liability or exclusions of warranties may not apply to users. In such cases, the parties agree that Innosonian’s warranties and liability shall be limited to the maximum extent permitted by law.

The Site may contain links to third-party websites. Access to any website linked to the Site is at the user’s own risk, and Innosonian assumes no responsibility for the accuracy or reliability of any information, data, opinions, advice, or statements on such websites. Innosonian provides such links for convenience only, and the inclusion of any link does not imply any endorsement or warranty of any kind.

Innosonian may improve and/or change the products, services, programs, and prices described on the Site at any time without prior notice. All matters relating to these Terms shall be governed by the laws of the United Kingdom. No laws of any other jurisdiction shall apply. These Terms constitute the entire agreement with respect to the use of the Site and supersede all prior, contemporaneous, conflicting, or additional communications. Innosonian reserves the right to revise these Terms at any time without prior notice by updating this posting. All rights not expressly granted herein are reserved by Innosonian.
